1. About these terms

These terms and conditions govern your use of the Simplify with Sarah website (https://simplifywithsarah.com.au), including all tools, diagnostic resources, digital products, community memberships, and consulting services offered through the site.

Simplify with Sarah (ABN: 83 231 952 046) is a sole trader business operated by Sarah Bacich from Sydney, Australia. By accessing or using this website, you agree to be bound by these terms. If you do not agree, please do not use the site.

2. Services overview

Simplify with Sarah provides:

• AI-powered diagnostic tools: Self-assessment tools that use artificial intelligence to analyse your inputs and generate personalised reports and recommendations
• Digital products: Downloadable resources, templates, and guides
• Community membership (Do & Done Business Club): A monthly membership delivered through the Skool platform, offered in Standard and Premium tiers, with live sessions, resources, and peer support. Premium founding members also receive the one-off bonus sessions described in section 35

3. Use of the website

You agree to use this website lawfully and in a way that does not:

• Infringe the rights of any other person
• Restrict or inhibit anyone else's use of the site
• Introduce malicious code, attempt to gain unauthorised access, or interfere with site functionality
• Scrape, reproduce, or redistribute content without written permission
• Attempt to reverse-engineer, extract, or replicate the AI models, prompts, or system logic used by our tools
• Use automated scripts, bots, or other programmatic means to access the tools or submit bulk requests

We reserve the right to restrict or terminate access to the website at our discretion if these terms are breached.

4. Intellectual property

All content on this website, including text, graphics, logos, tool outputs, frameworks, methodologies, and software, is the intellectual property of Simplify with Sarah unless otherwise stated.

You may not:

• Copy, reproduce, or redistribute any content without prior written consent
• Use our content to train AI models or for automated data collection
• Claim ownership of diagnostic outputs, frameworks, or methodologies presented on this site
• Reproduce or redistribute AI-generated reports, whether in whole or in part, for commercial purposes

Diagnostic reports generated for you are for your personal or internal business use only. You may not resell, redistribute, or white-label them. The underlying AI system prompts, scoring logic, and report frameworks remain the exclusive intellectual property of Simplify with Sarah.

5. Payments, refunds, and cancellations

Payments

All payments are processed securely through Stripe. Prices are displayed in Australian Dollars (AUD) unless otherwise stated. You are responsible for any applicable taxes in your jurisdiction.

Digital products

Due to the nature of digital products, all sales are final once the product has been delivered or download access has been granted. If you experience a technical issue preventing access, contact us within 7 days of purchase.

Subscriptions and tool access

Subscriptions (including diagnostic tool access and Do & Done Business Club membership) are billed monthly in advance. You may cancel at any time through your member portal or by contacting us. Cancellation takes effect at the end of your current billing period. No partial or pro rata refunds are provided for unused portions of a billing cycle, and access continues until that period ends.

Free trials

Some tools may include a free trial period. No credit card is required to start a trial. At the conclusion of the trial, continued access requires an active subscription. We reserve the right to modify or withdraw trial offers at any time.

Cancelling or rescheduling a scheduled session (48 hours notice)

A minimum of 48 hours notice is required to cancel or reschedule any scheduled one to one session, including Premium bonus sessions and paid consulting sessions. Notice is given by using the cancellation or reschedule link in your booking confirmation, or by emailing sarah@simplifywithsarah.com.au.

• More than 48 hours notice: you may reschedule to any available slot at no cost. For paid consulting sessions, you may instead request a full refund
• Less than 48 hours notice: the session is treated as used. Paid consulting sessions are not refundable, and a bonus session cannot be rebooked
• No-shows: if you do not attend within 10 minutes of the scheduled start time, the session is treated as used and is not refundable or rebookable
• Sessions we move: if we need to cancel or reschedule, you will be offered the next available slot or a full refund for a paid session

We may waive this policy at our discretion in genuine emergency or compassionate circumstances.

Consulting services

Consulting sessions require an application and are confirmed upon payment. The 48 hour notice policy above applies to every scheduled consulting session.

6. AI-powered tools and generated content

Nature of AI outputs

Our diagnostic tools use third-party artificial intelligence models to analyse your responses and generate personalised reports, scores, and recommendations. These outputs are intended as general guidance and directional insight only. They do not constitute professional advice of any kind, including but not limited to legal, financial, accounting, tax, medical, psychological, or technical advice.

No reliance for decision-making

AI-generated outputs should not be used as the sole basis for any business, financial, legal, or personal decision. You should always consult qualified professionals before acting on any recommendation. You acknowledge that:

• AI models may produce inaccurate, incomplete, or contextually inappropriate outputs
• Results reflect the information you provide and the capabilities of the models at the time of use
• AI outputs may vary between sessions even when identical inputs are provided
• We do not guarantee the accuracy, completeness, or suitability of any AI-generated content
• You are solely responsible for evaluating and acting on any recommendations or insights
• Simplify with Sarah accepts no liability for decisions made, actions taken, or outcomes resulting from AI-generated outputs

Third-party AI models

Our tools utilise third-party AI models and infrastructure. While we select and configure these models carefully, we do not control the underlying model behaviour and cannot guarantee specific outcomes. The AI providers may update, modify, or discontinue models at any time, which may affect tool functionality or output quality.

Human oversight

All AI tools on this platform are designed to augment human judgment, not replace it. The reports and recommendations generated should be treated as one input among many in your decision-making process. We strongly encourage you to apply your own expertise and seek independent advice where appropriate.

Outputs are not unique

AI outputs are generated from patterns, not invented for you alone. Other users may receive materially similar scores, phrasing, structures, or recommendations. No exclusivity, originality, or uniqueness is claimed or granted in any output. Your responsibilities before publishing any AI assisted content are set out in section 12.

7. Beta tools and access codes

Beta designation

Some tools on this platform are marked as "Beta" or "Coming Soon." Beta tools are in active development and may be incomplete, contain errors, or produce inconsistent results. They are provided for early access and evaluation purposes only.

You acknowledge that beta tools:

• May be modified, suspended, or withdrawn at any time without notice
• May contain bugs, errors, or functionality gaps
• Are not guaranteed to be available in their current form in future releases
• Should not be relied upon for critical business decisions
• May have limited support or documentation

Features described as "Coming Soon", planned, or on a roadmap are an indication of intent only. They are not a promise to build, not a delivery commitment, and are not part of what you are paying for. Nothing you purchase is conditional on a future capability being released.

Access codes

Certain tools or features may be gated behind access codes distributed through promotional campaigns, partnerships, or community membership. Access codes:

• Are personal to the recipient and may not be shared, sold, or transferred unless explicitly permitted
• May have expiry dates, usage limits, or restrictions on which tools they unlock
• May be deactivated at our discretion if misused or if the associated campaign ends
• Do not guarantee perpetual access to any tool or feature

8. Fair usage policy

To ensure a consistent and reliable experience for all users, the following fair usage principles apply to all AI-powered tools and services:

• Reasonable use: Tools are intended for individual, personal business use. Excessive or automated use that places unreasonable load on our systems may result in temporary or permanent access restrictions
• Rate limits: We may impose limits on the number of diagnostic reports, tool runs, or AI queries you can generate within a given period. These limits may vary by subscription tier
• Prohibited use: You may not use the tools to generate content that is harmful, defamatory, discriminatory, misleading, or in violation of any applicable law
• No resale: Tool outputs are for your own use. You may not operate a competing service using our tools or systematically generate outputs for third parties
• Account sharing: Each account is for a single user. Sharing login credentials or access with others is not permitted

We reserve the right to monitor usage patterns (in aggregate and anonymised form) to enforce this policy and to suspend accounts that breach these terms.

9. Data processing and AI inputs

What data is processed

When you use our AI-powered tools, the information you provide (such as answers to diagnostic questions, business details, and text inputs) is transmitted to third-party AI model providers for processing. This data is used solely to generate your personalised results.

Data handling

• Your inputs are sent to AI model providers via secure, encrypted connections
• We do not use your personal inputs to train or fine-tune AI models
• Third-party AI providers may process data according to their own terms and privacy policies, which we review but do not control
• Generated reports are stored in our database for your convenience and may be emailed to the address you provide
• You may request deletion of your diagnostic data by contacting us at sarah@simplifywithsarah.com.au

Sensitive information

Do not submit sensitive personal information, financial account numbers, passwords, health records, or other confidential data into our diagnostic tools unless specifically requested and necessary for the tool's function. We are not responsible for any sensitive information you voluntarily disclose through tool inputs.

10. AI ethics and governance

Our commitments

Simplify with Sarah is committed to the responsible and ethical use of artificial intelligence. We adhere to the following principles:

• Transparency: We clearly identify where AI is used in our tools and services. AI-generated content is presented as such, not as human-authored expert advice
• Fairness: We design our tools to provide consistent, unbiased analysis. However, AI models may reflect biases present in their training data, and we cannot guarantee the complete absence of bias in outputs
• Privacy by design: We minimise the data we collect and process, and we do not use your data for purposes beyond delivering your requested results
• Accountability: We regularly review our AI tool outputs and refine our prompts and configurations to improve quality and reduce risk
• User autonomy: You are always in control. We do not make automated decisions on your behalf. All outputs are recommendations for your consideration, not directives

Limitations we acknowledge

No AI system is infallible. We openly acknowledge that our tools:

• May not account for every nuance of your specific business context
• Are not a substitute for qualified professional advisors
• Reflect the state of AI technology at the time of use, which is evolving rapidly
• May occasionally produce outputs that require critical evaluation before application

Alignment with Australian AI principles

Our approach to AI governance is informed by Australia's Voluntary AI Safety Standard and the eight AI Ethics Principles published by the Australian Government Department of Industry, Science and Resources. While compliance with these frameworks is currently voluntary, we treat them as guiding standards for responsible AI deployment.

11. Your content and inputs

You keep ownership of the material you enter into our tools, including your answers, prompts, drafts, and business information. You grant Simplify with Sarah a non-exclusive, worldwide, royalty free licence to host, process, transmit, and display that material for the limited purposes of running the tool, delivering your results, providing support, and meeting our legal obligations. This licence ends when the material is deleted, except where we are required to retain records.

You warrant that:

• You have the right to submit everything you enter, including information about your clients, staff, or third parties
• Where you submit personal information about another person, you are the controller of that information and have any consent required
• Your inputs do not infringe the intellectual property, confidentiality, or privacy rights of anyone else

If you send us feedback, feature suggestions, or ideas about our tools, we may use them freely without obligation, attribution, or payment. You are not required to send feedback.

12. AI outputs: use, similarity, and your responsibility

Subject to section 4, you may use the reports and content generated for you inside your own business, including publishing content you generate through our content tools. What you may not do is resell, white-label, or systematically generate outputs for third parties.

You are responsible for anything you publish. Before you use an AI output publicly, you agree to:

• Check it for accuracy, including any figure, claim, statistic, quote, citation, or link
• Check it does not infringe another party's copyright, trade mark, or other rights, since AI outputs may unintentionally resemble existing material
• Check it complies with advertising, consumer, and industry regulation that applies to you
• Meet any disclosure obligation about AI assisted content imposed by a platform, regulator, client, or professional body
• Apply your own professional judgement, particularly for anything touching health, finance, legal, or employment matters

Simplify with Sarah is not the author, publisher, or approver of content you generate and publish, and accepts no liability for it.

13. Third-party platform compliance

Content produced with our tools is often intended for third-party platforms such as Meta (Facebook and Instagram), LinkedIn, TikTok, YouTube, X, Pinterest, and email service providers. Each of those platforms sets its own rules on advertising, health and financial claims, automation, data use, and AI disclosure, and those rules change without notice.

Complying with the rules of the platform you post on is your responsibility. Simplify with Sarah accepts no liability for post removal, ad rejection, reach restriction, account suspension, or account termination by any platform, however caused.

14. Prohibited use

In addition to sections 3 and 8, you must not use the website, tools, or outputs to:

• Do anything unlawful, or anything that is deceptive, misleading, defamatory, harassing, or discriminatory
• Produce regulated advice for third parties, including medical, psychological, legal, financial product, tax, or migration advice
• Generate content that impersonates a real person or organisation, or that is presented as independent when it is not
• Scrape, crawl, reverse engineer, extract system prompts, or otherwise attempt to reconstruct our tools, scoring logic, or model configuration
• Access the tools by automated means, resell access, or build a competing product or service using our outputs
• Circumvent access codes, usage caps, rate limits, paywalls, or trial restrictions, including by creating multiple accounts or using multiple email addresses
• Upload malicious code, or attempt to interfere with the security or integrity of the platform or its data

Breach of this section may result in immediate suspension or termination under section 23, without refund.

15. Disclaimer of warranties

This website and all services, including AI-powered tools, are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Simplify with Sarah disclaims all warranties, express or implied, including but not limited to:

• Fitness for a particular purpose
• Merchantability
• Accuracy, reliability, or completeness of content, including AI-generated outputs
• Uninterrupted or error-free operation of the website, tools, or AI services
• That AI outputs will meet your specific requirements or expectations
• That AI models or tools will remain available in their current form
• That any output is original, unique to you, or free from resemblance to existing material
• That any output is free from infringement of third-party intellectual property rights
• That any output complies with the rules of a third-party platform, an advertising standard, or a regulator

Nothing in these terms excludes or limits consumer guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded by law.

16. Limitation of liability

To the maximum extent permitted by Australian law, Simplify with Sarah will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising from your use of or inability to use the website, AI tools, or services.

Without limiting the above, Simplify with Sarah accepts no liability for:

• Business decisions made based on AI-generated outputs
• Inaccuracies, omissions, or errors in AI-generated reports or recommendations
• Loss or damage arising from reliance on AI outputs without independent verification
• Service interruptions caused by third-party AI provider outages or changes
• Unauthorised access to your data resulting from your failure to maintain account security
• Enforcement action by a third-party platform, including post removal, ad rejection, or account suspension
• Claims brought by any third party in relation to content you generated and published
• Loss, corruption, or deletion of generated reports, drafts, or saved tool progress
• Any feature described as planned or "Coming Soon" that is changed, delayed, or never released

Our total liability for any claim arising from these terms or your use of our services is limited to the amount you paid to us in the 12 months preceding the claim, or AUD $100, whichever is greater.

17. Third-party links and services

This website may contain links to third-party websites, tools, or services, including AI model providers, payment processors, and community platforms. These are provided for convenience only. Simplify with Sarah does not endorse, control, or accept responsibility for the content, privacy practices, or availability of any third-party site.

Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review those terms before using any linked service.

18. Affiliate relationships

Some links on this site are affiliate links. If you purchase a product or service through an affiliate link, we may receive a commission at no additional cost to you. All recommendations are independently researched and tested. Affiliate relationships do not influence our recommendations or editorial content.

19. User conduct in community spaces

If you participate in the Do & Done Business Club or any other community space operated by Simplify with Sarah, you agree to:

• Treat all members with respect and professionalism
• Not share confidential information disclosed by other members
• Not use the community for unsolicited promotion, spam, or solicitation
• Not engage in harassment, discrimination, or abusive behaviour
• Not share or redistribute AI-generated reports or outputs belonging to other members

We reserve the right to remove members who breach these standards, without refund.

20. Account security

If you create an account on this website, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

• Use a strong, unique password
• Notify us immediately if you become aware of any unauthorised use of your account
• Not share your account credentials with any other person

We are not liable for any loss or damage arising from your failure to maintain account security.

21. Privacy

Your use of this website is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information, including data processed by AI tools.

22. Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless Simplify with Sarah and Sarah Bacich against any claim, demand, loss, cost, or expense (including reasonable legal costs) arising from:

• Your breach of these terms
• Your use or misuse of the tools or any AI generated output
• Content you publish that infringes the rights of another party or breaches a law or platform rule
• Information you submitted about a third party without the right or consent to do so

This indemnity does not apply to the extent the claim results from our own breach of these terms or our negligence, and it does not limit rights you have under the Australian Consumer Law.

23. Suspension and termination

You may stop using the website at any time, and may cancel a subscription under section 5. We may suspend or terminate your access to any tool, account, subscription, or community space:

• Immediately and without notice, for a serious breach of these terms, abuse of the tools, abuse of another member, or suspected fraud
• On reasonable notice, for non payment, a reversed or disputed payment, or repeated minor breaches
• At our discretion where a tool, tier, or service is withdrawn, in which case we will refund any prepaid amount covering the period after withdrawal

Where we terminate for breach, fees already paid are not refundable. On termination your right to use the tools and outputs commercially ends, and we may delete your stored reports and saved progress after a reasonable period. You can request a copy of your data before deletion by emailing sarah@simplifywithsarah.com.au.

24. Chargebacks and disputed payments

If something is wrong with a charge, contact us first at sarah@simplifywithsarah.com.au and we will work it out. Raising a chargeback or payment dispute without contacting us may result in immediate suspension of your access, and we may recover the disputed amount together with any fees charged to us by the payment provider.

25. Availability, changes, and no service level commitment

We do not guarantee uninterrupted availability. Tools, stages, features, model configurations, and pricing may be changed, paused, or withdrawn, and outputs may change as underlying AI models change. There is no service level agreement, uptime commitment, or support response time attached to any product or subscription unless we have agreed one with you in writing.

26. Communications

When you run a tool, request a report, join a waitlist, or subscribe, you agree that we may email you about your results and about related resources, tools, and offers. You can unsubscribe from marketing emails at any time using the link in any email or by contacting us. Transactional messages about your account, purchases, or these terms will continue while your account is active.

27. Age and eligibility

Our services are intended for business users aged 18 and over. They are not directed at children, and you must not create an account or submit information on behalf of a child. If you are using the services for an organisation, you confirm you have authority to accept these terms on its behalf.

28. Results, examples, and testimonials

Any case study, example output, testimonial, figure, or timeframe shown on this website reflects a particular situation and is not a promise, projection, or guarantee of what you will achieve. Results depend on your market, your business, and what you do with the work.

29. Dispute resolution

If you have a dispute, contact us first at sarah@simplifywithsarah.com.au with the details and what you would like resolved. We will respond in good faith and both parties agree to allow 30 days to reach a resolution before starting proceedings. This step does not prevent either party from seeking urgent injunctive relief, and it does not limit your rights under the Australian Consumer Law or your right to complain to a regulator such as the Office of the Australian Information Commissioner.

30. Changes to these terms

We may update these terms from time to time, including to reflect changes in our AI tools, services, or applicable law. Changes will be posted on this page with an updated revision date. Continued use of the website after changes constitutes acceptance of the updated terms.

For material changes that significantly affect your rights, we will make reasonable efforts to notify you via email or a prominent notice on the website.

31. Governing law

These terms are governed by and construed in accordance with the laws of New South Wales, Australia. Subject to the dispute resolution step in section 29, you agree to submit to the exclusive jurisdiction of the courts of New South Wales for any disputes arising from these terms or your use of the website.

32. Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

33. General

• Force majeure: Neither party is liable for delay or failure caused by events outside their reasonable control, including outages of AI providers, hosting, payment, or communications infrastructure
• Assignment: We may assign or transfer these terms as part of a sale or restructure of the business. You may not assign your rights without our written consent
• Entire agreement: These terms, together with the Privacy Policy and any written agreement for consulting or premium services, form the entire agreement between us and replace earlier representations
• No waiver: If we do not enforce a right straight away, that is not a waiver of it
• Notices: Notices may be sent by email to the address on your account or to sarah@simplifywithsarah.com.au, and are taken to be received on the next business day
• Survival: Sections covering intellectual property, your content, AI outputs, prohibited use, warranties, liability, indemnity, termination consequences, dispute resolution, and governing law survive termination
• Interpretation: Headings are for convenience only and do not affect meaning

34. Do & Done Business Club membership and founding members

Where the membership runs

The Do & Done Business Club is a monthly membership delivered through the Skool community platform. Your use of Skool is also governed by Skool's own terms and privacy policy. We do not control that platform and are not liable for its availability, pricing, or account decisions.

Tiers

• Standard: community access, live sessions, resources, and Builders released to that tier
• Premium: everything in Standard, plus the additional inclusions listed for Premium at the time you join, including the bonus sessions described in section 35

Founding member status

The Club is in its founding phase. Community, events, tools, Builders, and resources are still being built and refined, and inclusions may be added, changed, paused, or withdrawn as the membership develops. Founding pricing reflects that stage.

• Founding rates apply for as long as your subscription remains active and continuous
• If your subscription lapses or is cancelled, founding pricing may no longer be available and the current rate will apply if you rejoin
• Founding rates are not open indefinitely and may close to new members at any time
• Features described as planned, in development, or coming soon are an indication of intent only, not a delivery commitment, and are not part of what you are paying for

Single seat

A membership is for one named person. Logins, community access, session bookings, and member resources may not be shared, transferred, resold, or used on behalf of another business. Community conduct standards in section 19 apply inside Skool, including confidentiality of what other members share.

35. Premium bonus sessions

As part of the current founding member offer, Premium members receive two one-off bonus sessions: a 60 minute Goal Setting and AMA session, and a 90 minute AI Capability Review and Upskill session.

What is included

• Each session is included once per Premium membership and is available to active Premium members only
• You choose which session to take first, and may use the second as a follow up to the first
• Suggested cadence is one session in your first subscription month and the remaining session in your second
• Members who want both sessions should expect to remain an active Premium member for at least two subscription months
• These sessions form part of the current founding member offer and may not be included in future membership plans

What these sessions are not

Both sessions are advisory and capability building. They are designed to help you understand your options, identify opportunities, and build confidence. They are not:

• Recurring monthly one to one sessions or an ongoing consulting arrangement
• Done-for-you implementation
• Custom software development or bespoke automation building
• A managed AI service or ongoing technical support
• Professional advice of any kind, including legal, financial, tax, or technical advice. Section 6 applies

Anything discussed, demonstrated, or suggested in a session is guidance for your consideration. You are responsible for what you implement in your own business, including any cost, subscription, data handling, or platform obligation that follows.

Eligibility, expiry, and forfeiture

• Bonus sessions have no cash value and cannot be exchanged, refunded, credited, gifted, or transferred to another person or business
• Unclaimed sessions lapse when your Premium membership ends, and do not revive if you rejoin later unless we agree otherwise in writing
• If you downgrade from Premium before taking a session, entitlement to that session ends
• The 48 hour cancellation and reschedule policy in section 5 applies to every bonus session. A session cancelled inside 48 hours, or missed, is treated as used

Recording and confidentiality

Sessions run over Google Meet. We will not record a session without telling you first, and you must not record, transcribe, or share a session without our prior consent. Where you share your screen, you are responsible for what you disclose, including client information and credentials.
